Constitution of the Brookshire Park Association

Article I: Name and Object

The name of this association shall be THE BROOKSHIRE PARK ASSOCIATION and its objects shall be the general welfare of the community and the furtherance of neighborly relationships within the community.

Article II: Membership

Section 1: The membership of this association shall consist of regular and associate members.

Section 2: Regular members shall be limited to residents of single family dwellings within Brookshire Park who are either property owners or lease-holders. Such residents shall become members upon payment of the annual dues.

Section 3: Associate members shall be former residents of Brookshire Park who desire to continue their connection with the association. Such associate members however shall not be entitled to vote or hold office.

Article III: Officers

Section 1: The officers of the association shall consist of a President, Vice-President, Secretary, and Treasurer. They shall be elected at the annual meeting of the association from the regular members. The officers when elected and qualified shall hold office until the next annual election, or until their successors have been duly elected and qualified. Vacancies in any office for any reason, shall be filled by the members, at an annual meeting, or by the Executive Committee if the vacancy occurs after an annual meeting.

Article IV: Committees

Section 1: An Executive Committee shall be composed of the four elected officers and the immediate past president.

Section 2: There shall be four standing committees:
a. Beautification
b. Community Affairs
c. Membership
d. Safety

Immediately after the annual meeting of the association, the president shall appoint from the members of the association, chairman of these four standing committees. The appointed chairmen may chose from among the membership of the association, from time to time, members to their respective committees.

Section 3: Special committees shall be appointed by the President to perform specific duties.

Article V: Duties of Officers and Committees

Section 1: The President, or in his absence the Vice-President shall preside at all meetings of the association. If both of them should be absent from any meeting, the members present shall elect a presiding officer. The President shall be a member of all commmittees except the Nominating committee.

Section 2: The Vice-President, in the absence of the President, will preside at all meetings of the assoication, and also perform such other duties as may be imposed upon him by the Constitution and By-Laws.

Section 3: The Secretary shall prepare and keep the minutes of all meetings of the association and of the Executive Committee. He shall attend to the giving of all notices of meetings of the association, such notices to be at least five days in advance of the meeting. He shall attend to the correspondance of the association, report all applications for membership, and shall perform such other duties as may be imposed upon him by the Constitution and By-Laws.

Section 4: The Treasurer shall collect all sums for obligations due the association, and shall have the care and custody thereof. He shall receive and keep all funds of the association, and deposit the same in such bank or banking institution as the association may designate. The account shall bear the names of all four officers. The signatures of two officers shall be necessary for making withdrawals in any form whatsoever, such as checks, drafts, cash, etc.

Section 5: The Executive Committee shall meet at the call of the President or of two of its members. It shall conduct the affairs of the association between general meetings of the association. It shall be governed in its decisions by the reports of the standing and special commitees and by the recorded actions of the association at the association's previous meetings.

Article VI: Dues and Assessments

Section 1: The annual dues shall not exceed $20.00 per year for regular family memberships and $10.00 for associate family memberships and such dues shall become due and payable on November first of each year. The Executive Committee shall have power, however, at majority vote of its membership at a regularly called meeting prior to August first in any year, to reduce the dues assessment for that year, in the ratio indicated above, to that level whcih can be expected to provide revenue adequate for the estimated budgetary requirements of the association.

New members joining the association shall have their dues pro-rated on a quarterly basis.

Section 2: Members who shall fail to pay their annual dues within sixty days of the time they become due, shall thereafter, at the discretion of the Executive Committee, cease to be members of the association until such dues are paid.

Article VII: Nominating Committee

It shall be the duty of the President at least one month before the date of the annual meeting in each year to present to the Executive Committee the names of at leaset three members of the association for appointment as a Nominating Committee which shall select candidates to be voted for at the ensuing annual election. Additional names may be presented by other members of the Executive Committee and appointment of the each member of the Nominating Committee shall be by majority vote of the Executive Committee members in attendance at such meeting. The Nominating Committee shall consist of at least three members.

Article VIII: Meetings

Section 1: The annual meeting of the association shall be held during October.

Section 2: Ten members of the association, in good standing, shall consitute a quorum at any association meeting.

Section 3: The President shall preside at such annual meetings until the election of his successor, and he shall appoint three inspectors of election who shall inspect and count all ballots and report and certify to the association the results of such election. Upon election of a new Presdient he shall preside for the remainder of the meeting.

Section 4: The Presdient or the Executive Committee may also call meetings of the assocation at any other times, on seven days notice.

Section 5: There shall be two votes for each regular membership.

Article IX: Fiscal Year

The fiscal year of the association shall end October 31st of each year.

Article X: Amendments to Constitution

Section 1: This Constitution may be amended by two-thirds vote of the members present, and voting, at any association meeting in which a quorum shall be present, provided that written notice of any proposed amendment shall has been delivered to the Secretary by the person proposing the same at least thirty days prior to the meeting.

Section 2: It shall be the duty of the Secretary, in case he shall receive notice of the proposed amendment, to cause the same to be mailed to each member of the association at least seven days prior to the meeting at which it is to be considered.

BY-LAWS

Rule 1: The Executive Committee shall hold meetings at such time as it or the President may determine.

Rule 2; The order of business at any regular or special meeting of the assoication shall be as follows:
1. Roll call
2. Announcement of new members
3. Reading of the minutes of the previous meeting
4. Treasurer's report
5. Communications
6. Reports of committees, other than Nominating Committee
7. Unfinished Business
8. Report of Nominating Committee and nominations from the floor
9. Elections
10. New business

Rule 3:
1. The authority of expenditure of funds by officers shall be limited to money from the dues.

2. Routine operating expenses shall be approved by the President.

3. Non-routine expenditures shall be approved by the majority vote of the Executive Committee.
